Terms of Service

Please read these terms carefully before using UnitySVC

Draft. These Terms are published for our public review period and are still being finalized — they may change before they take effect.

1. Acceptance of Terms

By accessing or using the UnitySVC platform ("Platform"), operated by UnitySVC, Inc. ("UnitySVC", "we", "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Platform. These Terms apply to all users, including Customers who enroll in and call services and Sellers who list services on our marketplace. If you accept these Terms on behalf of an organization, you represent that you are authorized to bind that organization.

2. Description of Service

UnitySVC operates a marketplace and multi-protocol gateway that connects service providers ("Sellers") with consumers ("Customers"). One account and one credential reach every service you are enrolled in. The Platform provides:

  • Protocol gateways — an API gateway (HTTP and webhooks), an SMTP gateway (email relay and email-to-HTTP bridging), an S3 gateway (object storage), and an MCP gateway (agent tool delegation)
  • A marketplace of Seller-operated services, including chat and completion models, embeddings, image generation, speech and translation, notification and email delivery, content and dataset storage, monitoring, and proxy services
  • Shared infrastructure for discovery, enrollment, authentication, routing, usage metering, billing, and Seller payouts
  • Request primitives composed into the request path — routing to groups and aliases, failover, retry, mirroring, caching, broadcast, chaining, scheduling, and logging
  • Account tooling: API keys, encrypted secrets, request logs, usage reporting, team accounts, and a prepaid wallet

Services are fulfilled under one of three listing types, and a single service may expose more than one of them across its channels. Under a Managed listing the Seller supplies the upstream credential and endpoint. Under BYOK you supply your own provider key. Under BYOE you supply your own endpoint, and optionally a key. Section 4 explains what each type means for what you owe and to whom.

3. Accounts, Teams, and Roles

To use the Platform you must create an account. Your sign-in identity — an email address with a linked Google, GitHub, or Microsoft login — is distinct from the accounts it belongs to. One identity may hold a seat on several accounts, and your enrollments, keys, wallet, and listings are scoped to whichever account is active rather than to you personally. You agree to:

  • Provide accurate, current, and complete information when you register, and keep it up to date
  • Maintain the security of your sign-in credentials, API keys, and stored secrets
  • Notify us promptly of any unauthorized access to your account or any compromise of a key
  • Accept responsibility for all activity under your account, including activity by members you invite and by automated clients using your keys
  • Not share credentials with unauthorized parties, and not use another user's account without permission

Shared accounts carry roles. Owners and billing managers may invite and remove members, transfer the billing-manager role, and manage billing and shared resources; members may use the account but not administer it. Invitations are issued as short codes that expire and may carry a use limit, and anyone who redeems one joins as a member of that account and shares its subscription and billing. A billing manager may not leave an account until the role is transferred, unless they are the last member. You may operate as a Customer, a Seller, or both; each role carries the responsibilities set out below.

4. Customer Terms

Calls to a service are rejected until you enroll in it. Enrolling records the price you accepted and any per-customer routing parameters, and only an active enrollment routes traffic. As a Customer you agree to:

  • Use services only for lawful purposes and in accordance with each service's documentation and acceptable use policy
  • Respect rate limits and quotas, and not attempt to circumvent metering, billing, or access controls
  • Not resell, sublicense, or redistribute access to a service except where its listing expressly permits it
  • Comply with all applicable laws regarding the content you send to and receive from services
  • Not use services to generate harmful, illegal, or deceptive content
  • Keep sufficient funds available in your wallet to cover the calls you make

Under BYOK and BYOE listings you supply your own provider credential or endpoint. In those cases your agreement with that provider governs your use of the upstream service, that provider bills you directly for what you consume, and you remain responsible for complying with its terms; UnitySVC charges you for routing and metering. Store provider credentials as secrets rather than as variables — variables are intended for non-sensitive configuration and are readable by the Platform.

5. Seller Terms

As a Seller listing services on UnitySVC, you agree to:

  • Provide accurate descriptions of your services, including capabilities, limitations, pricing, and any parameters a Customer must supply
  • Honor the list price published on your listing for calls made while that price is published
  • Maintain service availability and performance substantially as advertised, and keep your documentation and connectivity tests current
  • Respond to Customer inquiries, support threads, and dispute threads in a timely manner
  • Hold all rights necessary to offer your service, and not list services that infringe the intellectual property rights of others
  • Comply with all applicable laws and with the terms of any upstream provider whose service you resell
  • Not attempt to identify, contact, or re-target individual Customers outside the Platform using data obtained through it
  • Indemnify UnitySVC against claims arising from your services, as set out in Section 13

Platform fees applicable to your earnings, your payout rates, and any promotional arrangements are set out in your seller agreement, which supplements these Terms. UnitySVC may remove, suspend, or unlist any service that violates these Terms, misrepresents its behavior, or presents a security or abuse risk.

6. Fees, Wallet, and Payment

6.1 What you pay

For each call you make, you pay the list price published on that service's listing at the time of the call, applied to the usage that call reports — tokens, requests, duration, items, or bytes, depending on the service's pricing model. Any promotion or subscription quota in effect is applied on top of that base price. Request primitives are not charged separately; you pay for the underlying call. Platform fees applicable to Sellers are set out in the applicable seller agreement.

6.2 The prepaid wallet

Customer billing settles against a single prepaid wallet denominated in US dollars, one per account. Your available balance is your settled wallet balance less the usage accrued since the current period began. Usage is metered continuously and drawn against the available balance in near real time; the authoritative charge posts to your balance as a single deduction when the period's statement closes. Wallet transactions form an immutable ledger of top-ups, deductions, subscription settlements, refunds, adjustments, fees, and chargebacks.

6.3 Top-ups, credit limit, and suspension

You may top up manually at any time. Automatic top-up is enabled by default and charges your saved payment method a fixed amount whenever your available balance falls below the negative of your credit limit, which defaults to zero. You may also set a per-cycle spending budget and a daily spending alert; both notify you and neither blocks usage. If an automatic top-up fails, your wallet may be suspended and further calls rejected until a payment succeeds. Card payments are processed by Stripe; UnitySVC does not receive or store full card numbers.

6.4 Subscriptions

Plans are offered at Free, Pro, Team, and Enterprise tiers on a monthly or annual cadence. The flat fee for a period is debited from your wallet at the start of that period and buys an included usage quota; usage beyond the quota is charged at the plan's overage rate and reconciled when the statement closes. You may hold one active subscription per account at a time. Cancellations, pauses, and downgrades take effect at the end of the current period, so you keep the plan you have already paid for until it lapses. Team plans are billed per seat, and seats added mid-cycle are prorated to the end of the current cycle. If your wallet cannot cover a subscription fee, the subscription becomes past due.

6.5 Statements

At the close of each billing period the Platform freezes a statement showing that period's opening and closing balance and a line item for every transaction, downloadable as a PDF. A frozen statement is the authoritative record for its period and is not edited afterward; corrections are posted as separate wallet transactions, which means a correction may appear in a later period than the charge it relates to.

6.6 Disputes, credits, and refunds

If you believe a charge is wrong, open a dispute referencing the request log entry for the call in question. Disputes are reviewed and resolved only by UnitySVC. A dispute resolved in your favor posts a credit to your wallet and is recovered from the Seller as an adjustment on a later invoice; a rejected dispute leaves the charge standing, with a written reason. Except as required by law or as expressly stated in these Terms, charges are otherwise non-refundable.

6.7 Seller payouts

Each billable Customer call posts an earning against your Seller balance at your service's payout rate. At the close of each billing cycle the Platform totals the period's earnings, subtracts applicable platform fees, and freezes a pro-forma invoice with a per-line-item breakdown. That invoice then passes through a dispute window, during which you may contest it, and a payout window that buffers against Customer chargebacks and defaults to two months after the period ends. Once both windows pass, the invoice's net is credited to your available balance and may be drawn down as a payout. Payout methods are configured in your Seller settings and each carries its own minimum and processing fee; you receive the payout amount less that fee. A Customer dispute resolved against you is recovered as a clawback on a later invoice, and an invoice may be voided for fraud or abuse and retained for audit.

6.8 Taxes

Amounts are exclusive of taxes unless stated otherwise. You are responsible for any taxes arising from your use of the Platform other than taxes on our net income. Sellers are responsible for their own tax reporting on amounts paid out to them.

7. API Keys, Secrets, and Rate Limits

Services are reached through Platform gateways using an API key that authenticates you to UnitySVC. An API key is displayed once when it is created and cannot be retrieved afterward, and a key may be pinned to a specific account so that automated calls run in the intended context. You agree to:

  • Keep API keys confidential, rotate them promptly if exposed, and revoke keys you no longer use
  • Respect the rate limits and quotas associated with your plan and your enrollments
  • Implement appropriate error handling, timeouts, and retries with backoff
  • Not attempt to bypass authentication, routing, metering, or other access controls
  • Monitor your usage and balance to avoid interrupted service or unexpected charges

Secrets are not API keys. A secret — such as a provider key you supply for a BYOK enrollment — is stored write-only and encrypted, is never returned through the product or the API, and is decrypted only on the outbound call to the upstream it is intended for. Secrets are isolated by ownership, so one account's key material cannot decrypt another account's secrets. No system is perfectly secure, and you remain responsible for the credentials you store and for rotating them when your provider requires it. We may throttle or suspend access for accounts that repeatedly exceed limits, degrade the Platform for others, or appear to be abusing it.

8. Intellectual Property

8.1 Platform ownership

UnitySVC and its licensors retain all rights to the Platform, including its design, gateways, documentation, and marks. You may not copy, modify, or create derivative works of the Platform, and you may not use our marks without our permission.

8.2 Your content

You retain ownership of the content you send to and receive from services through the Platform. You grant UnitySVC a limited, non-exclusive license to host, transmit, and process that content solely in order to route your requests, meter and bill usage, provide support, and comply with law.

8.3 Service ownership

Sellers retain ownership of their services and underlying technology. Listing a service on UnitySVC transfers no intellectual property rights to UnitySVC or to Customers beyond the right to use the service as described in its listing.

8.4 Ratings and reviews

Signed-in users may post a star rating and written review of a service or a Seller, and may vote on other users' reviews. Reviews appear immediately and aggregate into public averages. You are responsible for what you post, and you must not post content that is false, unlawful, or that discloses another party's confidential information. You grant UnitySVC a perpetual, royalty-free license to display and aggregate your review on the Platform. You may edit or delete your own review, and we may hide or remove a review that violates these Terms.

9. Privacy, Logging, and Data Protection

Your use of the Platform is also governed by our Privacy Policy, which forms part of these Terms. In particular:

  • Request content you route to a Seller's service is delivered to that Seller in order to fulfil the request, and is then subject to that service's own terms
  • Request metadata such as timestamps, status, latency, and usage counts is retained for billing, observability, and abuse prevention
  • Request logs may capture full request and response bodies, according to your account's logging setting and the Seller's response rules, and are retained for a limited period (currently 30 days) before deletion
  • In your own logs, your API key is redacted and the resolved upstream endpoint and its credentials are withheld
  • Product analytics are collected only after you opt in, and you may withdraw that consent at any time
  • You are responsible for obtaining any consents required for the data you send through services, and for not sending data you are not permitted to disclose

Customers authenticate to UnitySVC rather than to Sellers, and a Seller receives the operational data needed to serve a request rather than your identity. Enterprise customers may negotiate a separate data processing agreement.

10. Prohibited Uses

You may not use the Platform to:

  • Violate any applicable law or regulation
  • Infringe the intellectual property rights of others
  • Transmit malware, viruses, or harmful code
  • Engage in fraudulent or deceptive practices, including chargeback abuse
  • Harass, abuse, or harm others
  • Generate illegal content, including child sexual abuse material, weapons instructions, or content promoting violence
  • Circumvent metering, billing, rate limits, or quotas, including by creating multiple accounts to evade limits or to obtain free-tier benefits repeatedly
  • Route traffic through a bring-your-own-key or bring-your-own-endpoint configuration in violation of the upstream provider's terms
  • Attempt to gain unauthorized access to our systems, another user's account, or a Seller's infrastructure
  • Probe, scan, or load-test the Platform, or otherwise interfere with its proper functioning, without our written permission
  • Scrape or collect data from the Platform without authorization

11. Service Availability, Changes, and Disclaimers

THE PLATFORM AND THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not guarantee:

  • Uninterrupted or error-free operation of the Platform or of any service reached through it
  • The availability, accuracy, or reliability of any Seller's service or of the upstream providers it depends on
  • The accuracy or reliability of AI-generated outputs
  • That any service will meet your specific requirements
  • The quality, safety, or legality of services listed by Sellers

UnitySVC routes requests to services operated by Sellers and by their upstream providers; we are not a party to your use of a Seller's underlying service and do not control its behavior. We may add, change, deprecate, or discontinue services, gateways, and features, and we will give reasonable notice of a change that materially reduces functionality you rely on. Features described as planned, upcoming, or experimental carry no delivery commitment. You acknowledge that AI services may produce inaccurate, biased, or inappropriate outputs, and you agree to apply appropriate human oversight before relying on them.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UNITYSVC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. Our total aggregate liability arising out of or relating to these Terms shall not exceed the amounts you paid to UnitySVC in the twelve (12) months preceding the event giving rise to the claim. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

13. Indemnification

You agree to indemnify and hold harmless UnitySVC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Platform or of any service reached through it
  • Your violation of these Terms
  • Your violation of any third-party rights, including an upstream provider's terms
  • Content you send to, or generate through, services on the Platform
  • For Sellers, the operation, performance, and legality of the services you list

14. Suspension and Termination

14.1 Termination by you

You may close your account at any time from your account settings. Cancelling a subscription takes effect at the end of the current period, and the fee already paid for that period is not refunded.

14.2 Suspension or termination by us

We may suspend or terminate your account, or reject calls, if you breach these Terms, if payment fails, or if your activity presents a fraud, security, or abuse risk. Where it is practicable we will give notice and an opportunity to cure; where the risk is immediate we may act first and notify you afterward.

14.3 Your wallet balance

On termination we will refund the remaining settled balance in your wallet, less a processing fee and after deducting usage that has accrued but not yet settled, any past-due amounts, and any pending disputes or chargebacks. Refunds are returned to the original payment method where possible. Promotional credits and other amounts you did not purchase are not refundable.

14.4 Effect of termination

On termination your right to access the Platform ends, your enrollments are cancelled, and your API keys stop working. Sellers remain entitled to earnings already accrued, which pay out on the normal invoice schedule and remain subject to the dispute and payout windows. Provisions that by their nature should survive termination — including fees owed, intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution — remain in effect.

15. Dispute Resolution

A dispute about a specific charge is handled through the Platform's dispute process described in Section 6.6, and we ask that you use it before pursuing other remedies. For any other dispute arising from these Terms or from your use of the Platform, you and UnitySVC agree to first attempt to resolve the matter informally by contacting us at the address in Section 18.

If a dispute is not resolved within sixty (60) days of that notice, it shall be resolved by binding arbitration administered by the American Arbitration Association under its applicable rules. You waive any right to participate in a class action or class arbitration. For claims within its jurisdictional limits, either party may instead bring an individual action in small claims court, and either party may seek injunctive relief in court to protect its intellectual property or confidential information.

16. Changes to Terms

We may modify these Terms by posting a revised version on the Platform with an updated effective date. Material changes will be communicated by email or platform notification at least thirty (30) days before they take effect. Your continued use of the Platform after changes take effect constitutes acceptance of the modified Terms; if you do not accept them, close your account before they take effect.

17. General Provisions

  • Entire Agreement: These Terms, together with the Privacy Policy and any seller agreement or order form that references them, constitute the entire agreement between you and UnitySVC regarding the Platform.
  • Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
  • Waiver: Failure to enforce any provision does not waive our right to enforce it later.
  • Assignment: You may not assign your rights under these Terms without our consent. We may assign our rights to any successor in connection with a merger, acquisition, or sale of assets.
  • Force Majeure: Neither party is liable for delay or failure to perform caused by events beyond its reasonable control, including upstream provider or infrastructure outages.
  • Notices: We may give notice by email to the address on your account or by posting in the Platform; notices to us should be sent to the address in Section 18.
  • Governing Law: These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.
